1. Acceptance of Terms By accessing, browsing, or using the website located at Financialize.com (the "Site") and any services provided by Financialize.com LLC (formerly known as FinAuction.com, LLC) ("Company", "we", "us", or "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Site or our services.
2. Name Change and Successor in Interest PLEASE READ THIS SECTION CAREFULLY regarding our change of business name. Effective immediately, the business entity formerly known as FinAuction.com, LLC is now operating as Financialize.com LLC.
• Continuity of Agreements: Financialize.com LLC is the successor in interest to FinAuction.com, LLC. Any and all agreements, contracts, understandings, or obligations previously entered into by or with FinAuction.com, LLC remain in full force and effect.
• References: Any reference to "FinAuction.com, LLC" in prior documentation, invoices, contracts, or communications shall be deemed to refer to "Financialize.com LLC."
• Binding Effect: All rights, benefits, duties, and obligations owed to or by FinAuction.com, LLC now legally inure to Financialize.com LLC.
3. Description of Services & Hierarchy of Agreements Financialize.com LLC provides financial information, lead generation, auction-style listings, and related tools (collectively, the "Services").
• Supplemental Terms for Lead Purchases: Access to specific services, such as the purchase of Leads or "Lead Revival" subscriptions, are governed by their own separate agreements (e.g., the Lead Purchase Agreement). You will be required to accept those specific terms ("Supplemental Terms") when utilizing those services. In the event of a conflict between these General Terms and the Supplemental Terms regarding that specific service, the Supplemental Terms shall control.
• No Financial Advice: The content provided on this Site is for informational purposes only. It does not constitute professional financial, investment, legal, or tax advice.
4. User Accounts To access certain features of the Site, you may be required to register for an account.
• Accuracy: You agree to provide accurate, current, and complete information during the registration process.
• Security: You are responsible for maintaining the confidentiality of your password and account. You are fully responsible for all activities that occur under your account.
• Notification: You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
5. User Conduct You agree to use the Site only for lawful purposes. You are prohibited from:
• Using the Site in any way that violates any applicable federal, state, local, or international law (specifically including Arizona state regulations).
• Impersonating the Company, a Company employee, another user, or any other person or entity.
• Engaging in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site.
• Using any robot, spider, or other automatic device to access the Site for any purpose, including monitoring or copying any of the material on the Site.
6. Intellectual Property & Lead Exclusivity The Site and its entire contents, features, and functionality are owned by Financialize.com LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• Trademarks: The name Financialize.com LLC, the former name FinAuction.com, LLC, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates.
• Lead Data Ownership & Exclusivity: When you purchase a lead, you are granted the exclusive right to use that lead data for a period of one (1) year (365 days). You acknowledge that Financialize.com LLC retains ultimate ownership of the underlying data. If the consumer re-engages with Financialize.com LLC after this one-year exclusivity period, we reserve the right to resell that lead to other agents or advisors.
7. Payment, Billing, and Refunds
• Stored Credentials & Lead Billing Authorization: By providing your credit card or other payment method information ("Payment Method") and opting into our lead generation services, you expressly authorize Financialize.com LLC to securely store your Payment Method. You acknowledge and agree that your Payment Method will be automatically charged the moment:
1. Lead Assignment: We assign a lead to you based on your account preferences or settings; or
2. Manual Selection: You actively select or bid on a lead for purchase through our platform.
• Refund Policy (Credit Only): While generally all sales are final, we may, at our sole discretion, issue an account credit for leads found to contain materially false contact information (e.g., disconnected phone number). Monetary refunds to the original payment method are granted solely at the absolute discretion of Financialize.com LLC management. Account credits hold no cash value.
• Reporting Window: You must report invalid leads to support@financialize.com within 72 hours of assignment to be eligible for credit.
• No Chargeback Policy: You agree not to initiate, request, or file a chargeback (or "dispute") with your credit card issuer for any valid charges. Initiating a chargeback is a violation of these Terms and will result in immediate account termination.
8. Compliance and Data Usage By using our Services, you agree that you will:
• Use leads in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, GDPR, and CCPA.
• Maintain appropriate licensing to engage in insurance sales.
• Not resell or redistribute leads to third parties during your exclusivity period without prior written consent.
9. Disclaimer of Warranties YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FINANCIALIZE.COM LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability IN NO EVENT WILL FINANCIALIZE.COM LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification You agree to defend, indemnify, and hold harmless Financialize.com LLC (and its successor entities, affiliates, licensors, and service providers) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Site; or (iii) your violation of any applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and the Do-Not-Call Implementation Act, in your contact with any leads purchased or acquired from Financialize.com LLC.
12. Governing Law and Jurisdiction All matters relating to the Site and these Terms shall be governed by and construed in accordance with the laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arizona, in each case located in the City of Gilbert or County of Maricopa.
